The current Kahler Glen governing documents describe an acreage-based voting rights system. The Resort currently holds a majority of the total vote based on the large acreage of their holdings. Per KGCA By-laws, Section 2.1 Voting Power: There shall be one vote per acre or fraction of a vote for each fraction of an acre owned. For condominium owners, the owners of each condominium project shall collectively have the voting power based on the acreage of the condominium project, and the individual unit owners shall have a pro rata portion of such voting power, based on the total number of units in such project. No voting rights shall be attributable to the ownership of garage condominium units. Acreage and voting power shall be determined by the Board.
Please indicate your opinion regarding the following statements. |

The current KGCA by-laws are clear regarding voting rights and that the Resort has a majority of the vote based on acreage owned. |
| |
The KGCA Board should negotiate with the the Resort Board regarding the voting rights system. |
| |
KGCA member voting rights should be based on the number of dues paid (1 vote per each dues paying property)? |

KGCA legal counsel has proposed a “grand bargain” to form the basis for an agreement to change the KGCA voting structure. Included are the following elements.
- KGCA would exempt the Resort (including golf course) from assessments
- KGCA would obtain title and take responsibility for domestic water and septic systems from the Resort for some yet to be determined consideration
- KGCA and the Resort would agree to an operating agreement providing protection for the business operations of the Resort
- KGCA would obtain title and take responsibility for common and undeveloped spaces owned by the Resort for some yet to be determined consideration including all maintenance and taxes
Please indicate your opinion regarding the following statements.

The KGCA Board should seek an agreement including any or all of the elements listed above. |

For each element below please indicate your opinion as to its inclusion in any proposed agreement. |

Because it is highly likely that changing the governance model may require significant revision of the KGCA governing documents (CC&Rs, by-laws, etc) by legal counsel, at what point would the legal costs associated with making these changes outweigh their expected benefit? |
| |
Because it is expected that changing the governance model will require certain concessions on the part of both the Resort and KGCA, should the KGCA Board consider establishing a multi-year service agreement with the Resort in exchange for concessions from them? |

The KGCA Board is comprised of volunteers, who may also be investors in the Resort. Because of concerns by community members due to the potential conflicts of interest, and the turmoil surrounding the election, the Board members have verbally confirmed their commitment to represent the interests of the entire community. Specifically they pledge to not support the interests of the Resort over the interests of the community as a whole (recorded in the minutes). The current KGCA Board is: Mike Wandell, Carol Pierce, Carol Billesbach, John Greiner, Jim Farmer, Bud Olsen and John Bennett (KGG&SR liaison).

The KGCA Board is required to enforce and administer the governing documents and to acquire and pay for needed services for the community. Currently, the KGCA contracts with the Resort to provide the bulk of these services. The previous KGCA Board did not reach an agreement with the Resort for the annual service contract beginning in May 2011. The financial stability of the Resort has been in question, and because of this, the current KGCA board is developing a Contingency Plan in the event that either the Resort cannot provide services or the KGCA chooses not to employ the Resort for any or all of the required services. Shown below are approximations of the contract fee allocations.

KGCA should continue to have cross country ski trails groomed. |

At what monthly cost increase would you no longer support XC trail grooming? Our current cost is $23/mo, $273/yr. |

Please provide your opinion regarding the importance of and satisfaction with "snow management" services. (Please select n/a if you do not generally visit KG during the winter months.) |
| |
The "Information" pop-up above describes some of the pros and cons of obtaining a new "snow management" services provider. Considering the information in the pop-up, would you be willing to contract "snow management" service to a new provider if the costs can be reduced? |
| |
If the Resort discontinues its "snow management" service and it is determined that maintaining the same level of service as in the past will be more expensive, would you be willing to accept some decrease in the level of service (e.g. allowing more snowfall before beginning plowing) provided that roads are maintained to the degree needed to allow for emergency vehicles, garbage pick-up, etc.? |

Should KGCA continue sharing the expense of mosquito control with the Resort (KGCA contribution is $60/year/owner)? |
| |
If the Resort discontinued providing mosquito control, should KGCA engage another provider for this service?
| |
Please indicate your opinion regarding the following statement. Undeveloped lots should be assessed a lower amount than properties with homes/condos? |
| |
Should the KGCA pay for services as they are delivered in order to reduce the risk of paying for services that may not be delivered? |

It is important that KGCA assure that knowledgeable staff is available on-site on a year-round basis to support Kahler Glen infrastructure (roads, water, septic, etc.) and to help maintain basic safety and security for homeowners |
| |

The restaurant loses money during off-season months (Oct to April). In the past, a portion of KGCA dues were used to subsidize restaurant operations so the restaurant could remain open during off-season months. Which option do you believe should be followed in the future? |
